We were incorporated in Delaware in September 2010 as JTH Holding, Inc. In July
2014, our corporate name was changed to Liberty Tax, Inc. in order to better
reflect our primary business and to eliminate confusion among stockholders and
potential investors seeking information about us. We are the holding company for
JTH Tax, Inc. d/b/a Liberty Tax Service, our largest subsidiary, which was
incorporated in Delaware in October 1996.
References in this report to "years" are to our fiscal years, which end on
April 30 unless otherwise noted, and all references to "tax season" refer to the
period between January 1 and April 30 of the referenced year. Unless the context
requires otherwise, the terms "Liberty Tax," "Liberty Tax Service," "we," the
"Company," "us," and "our" refer to Liberty Tax, Inc. and its consolidated
subsidiaries. A complete list of our subsidiaries can be found in Exhibit 21.1
